Okta Aerial Order Form Supplement

This Okta Aerial Order Form Supplement (“Supplement”) is between Okta, Inc. and Customer and governs use of the Okta Aerial Service. By accessing or using the Okta Aerial Service, agreeing to any Order Form that incorporates this Supplement, or otherwise providing assent, Customer agrees to be bound. The individual accepting this Supplement on behalf of Customer represents that they have the authority to bind Customer. If the individual does not have such authority, or does not agree with this Supplement, Customer must not access or use the Okta Aerial Service.

1. Applicable Terms. The Okta Aerial Service is subject to the written agreement between Okta and Customer for Okta Services, or if none exists, to the Master Services Agreement available at www.okta.com/legal (“MSA”) and to this Supplement. Capitalized terms used in this Supplement and not otherwise defined have the meanings given to them in the MSA.

2. Rate Limits. Use of Okta Aerial Service is subject to its Documentation and to the rate limitations described at https://developer.okta.com/docs/reference/rate-limits/.

3. Certifications and Exclusions. SOC 2, ISO 27001, 27017, 27018 and CSA STAR (Level 2) certifications are not applicable to the Okta Aerial Service. The Okta Aerial Service is excluded from (a) any Health Insurance Portability and Accountability Act standards that may be applicable and (b) any authorization(s) not yet granted under the FedRAMP program or by the U.S. Department of Defense.

4. Infrastructure. The Okta Aerial Service may be delivered on infrastructure separate from infrastructure used to deliver other Okta Services. Unless otherwise stated by Okta, data will be processed primarily in data centers located in Japan. For more information on the current available regions, please see the Documentation. By using Aerial, Customer consents to the processing of Customer Data in the Okta Aerial Service within the foregoing region(s).

5. Managed Service Providers. Okta Aerial Service is solely for management of Customer’s Okta Services, unless Customer has a signed agreement with Okta to provide Okta Aerial Services as a managed service for third parties (“MSP Agreement”). For any use of Okta Aerial Services as a managed services provider, Customer: (a) Consents to the processing of Customer Data in the Okta Aerial Service in the region(s) described in this Supplement; and (b) Represents and warrants to Okta that it has obtained all permissions and consents necessary to process its customers’ data in the manner specified herein.

6. Miscellaneous. This Supplement, together with the MSA (or, if applicable, MSP Agreement) represents the entire agreement between the parties with regard to the Okta Aerial Service. If there is a conflict between the MSA or MSP Agreement on the one hand, and this Supplement on the other, this Supplement will control.
